Terms of Service — Full Chair

We are Full Chair Ltd, a company registered in England and Wales (Company No. 17249022), trading as Full Chair. We operate https://www.fullchair.co.uk and related products and services (the "Services").

By accessing the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Our Services

Full Chair provides tattoo studio management software for artists and studios in the UK. You must be at least 18 years of age to use the Services.

2. Intellectual Property

All content, software, trademarks, and designs in the Services are owned by or licensed to Full Chair Ltd. You may not copy, reproduce, or exploit any part of the Services without our express written permission. Your client data and content remain yours.

3. User Representations

By using the Services, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, and will not use the Services for any illegal or unauthorised purpose.

4. Prohibited Activities

You may not: systematically scrape or collect data from the Services; attempt to gain unauthorised access; upload malicious code; use the Services to compete with Full Chair; resell or sub-licence the Services to any third party; or use the Services in violation of applicable law.

5. Payments and Subscriptions

Access to the Services requires a paid subscription. Subscriptions are billed monthly in advance via Stripe. If a payment fails, we will attempt to collect the payment for a grace period before suspending access. We do not offer refunds on the current billing period. You can cancel at any time from your billing settings.

6. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate on 30 days' written notice. We may terminate immediately for material breach. On termination, your data will be retained for 30 days before deletion, except where longer retention is required by law.

7. Modifications and Availability

We reserve the right to modify, suspend, or discontinue the Services at any time. We will provide reasonable notice of material changes where possible. We are not liable for any downtime or service interruptions.

8. Governing Law

These Terms are governed by the laws of England and Wales. You and Full Chair Ltd irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

9. Dispute Resolution

We ask that you contact us first at hello@fullchair.co.uk and allow 30 days for informal resolution before bringing any formal claim. If unresolved, either party may bring proceedings in the courts of England and Wales.

10. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FULL CHAIR LTD'S LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

12. Your Data

We process your personal data in accordance with our Privacy Policy. You retain ownership of your client data. We act as a data processor for client data entered into the platform.

13. Indemnification

You agree to indemnify and hold Full Chair Ltd harmless from claims arising from your use of the Services, breach of these Terms, or violation of any third party's rights.

14. Miscellaneous

These Terms constitute the entire agreement between you and Full Chair Ltd regarding the Services. If any provision is found to be unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver.
